3PL contract checklist: what should a small webshop sign?

Check a UK fulfilment contract before signing: document priority, weight-based liability, claim deadlines, customer data and a practical negotiation checklist.

In short

  • Before signing a 3PL contract, obtain the complete agreement and check which document wins if its schedules disagree. One published UKWA 2024 contract uses a default goods-liability limit of £100 per tonne, so a promise to store your products does not establish reimbursement at their selling price.
  • Put the quote, rate schedule, service levels, warehouse conditions and data-processing terms in the same review. A signature page alone cannot describe your obligations.
  • Separate warehouse responsibility, stock insurance and carrier responsibility. Each can have its own exclusions and evidence requirements.
  • Record your renewal deadline and the practical procedure for retrieving stock before dispatching the first delivery.
  • AirPost is a peer-to-peer fulfilment network: online shops have their orders packed and dropped at a parcel point by verified people near their customers, who earn a fee per parcel from home. No warehouse, no minimum order volume.

A fulfilment quote is easy to compare when it gives a price for picking an order. The contract is harder because the cost of a problem may sit in another document. A small shop should review the actual agreement offered for its warehouse, products and legal entity. This article uses public British conditions checked on 12 October 2026 to show what to examine. It does not turn those conditions into a rule for every 3PL or provide a ready-to-sign legal template.

Which documents are actually part of my agreement?

Ask for an electronic copy of everything incorporated by reference. That usually means looking beyond the commercial proposal to the service schedule, warehouse conditions, current rate card and data-processing arrangement. Write down the version and date of each document. If an online page can change, ask how changes are notified and whether the signed version remains available. A link that worked when you accepted the quote is a poor record if its text is replaced later.

Then ask for an order of precedence. If your negotiated schedule says packaging is included while the general tariff allows packaging surcharges, which statement controls? If an email promises unrestricted cancellation but the signed agreement renews automatically, where is that email incorporated? Put agreed exceptions into the contract itself. A seller-owned checklist is useful here: each promise gets a document, a clause reference and a person who has confirmed it.

DocumentQuestion to resolveEvidence to retain
Commercial scheduleWhich services and goods are accepted?Signed scope, legal entity and warehouse address
Rate cardWhat can be charged beyond picking?Dated rates, billing units and change procedure
Warehouse conditionsWhat limits liability and stock release?Exact edition and negotiated amendments
Service scheduleWhen does each operational clock start?Definitions, exceptions and remedies
Data-processing termsWho can access addresses and order history?Roles, instructions, sub-processors and exit procedure
A review sheet for your proposed agreement, not a claim that every provider uses these document names.

Does UKWA membership mean my stock is fully insured?

No. UKWA describes its conditions as a framework containing liability limitations and lien rights, and identifies the updated edition as 2024. Membership does not tell you which negotiated limit applies to your goods. Obtain the actual conditions supplied by your provider and the separate insurance position. A warehouse protecting its own liability is a different arrangement from a policy covering the full value of your inventory.

In Set-A-Side Storage’s published UKWA 2024 conditions, clause 3.5.4 sets the default goods limit at £100 per tonne unless a higher limit has been fixed under the specified procedure. Lightweight, valuable goods make that distinction especially relevant. Ask how weight, valuation and the affected goods are established, and what written acceptance is needed for an increased limit. Read the exclusions as well as the number; a cap only matters after responsibility has been established.

Prepare a stock description that includes the products, purchase evidence, storage needs and ownership. Tell the provider about goods that need special handling before sending them. Request confirmation of whose policy responds to theft, water damage or a picking error, and ask about deductibles and exclusions. Keep warehouse loss separate from loss after carrier handover. An insurance certificate can help identify a policy, but your review still needs its scope and the contractual route for making a claim.

How quickly would I have to report a warehouse loss?

The same published conditions distinguish three deadlines: written notice within 10 days of knowledge, sufficient written detail within 21 days of knowledge, and proceedings issued and served within 9 months of the event. Their failure-to-deliver provision uses its own starting point. These are examples from that contract, not universal statutory deadlines. Copy the applicable wording into your incident procedure and ask a qualified adviser about its effect if the risk is material to your shop.

Make the procedure usable on a busy day. Identify the email address or portal for notice, who monitors it and what proves receipt. Preserve the order reference, stock ledger, dated photographs and the first discrepancy report. Do not wait for a finished investigation before checking whether an initial notice is due. A request for a stock count and a formal claim notification may be different actions under the agreement. Your support colleague should know which one they are sending.

What should the contract say about customer addresses?

A warehouse needs delivery data, but access to it still needs an agreed purpose. Where a 3PL acts as your processor under UK GDPR, ICO’s contract guidance explains the Article 28 requirements. These include describing the processing and acting on documented instructions. It also covers sub-processors, assistance, audits and the handling of personal data when processing ends.

Map the actual flow: checkout, integration, warehouse, label provider and customer support. Identify which organisation receives names, addresses and contact details, and which acts in which role. Ask for the process for approving sub-processors and obtaining information about safeguards. Restrict access to the work required. Product stock movements and customer contact information have different purposes, so do not treat every export as a single undifferentiated file.

At termination, decide how you obtain the records needed to support outstanding orders and how the processor returns or deletes personal data, subject to applicable retention requirements. Agree an export format while you can test it. Check that an export includes usable identifiers rather than screenshots alone. This is an operational request as well as a data-protection requirement: your next provider must be able to distinguish an open order from one already dispatched.

How do I negotiate when my order volume is small?

Prioritise the clauses you can explain with your own business risk. For light products, ask about valuation and liability. For occasional launches, ask how forecasts affect service levels. For seasonal demand, establish which charges continue when no orders arrive. Ask whether a monthly minimum is a credit against specified services or an additional fee. You need the calculation rule, not just the reassuring phrase “no minimum orders”. Do not offer a long commitment before you can price a quiet month.

Use a marked-up schedule with proposed changes and written responses. If the provider cannot change a condition, record the remaining exposure and consider whether you can reduce the stock batch or keep the work at home. Our comparison of in-house and outsourced fulfilment helps with that operational choice. A smaller initial stock allocation can limit what is entrusted to one location; it does not change the legal wording or make uninsured goods insured.

What is the cost boundary of trying a different model?

For AirPost’s local sender model, the constants checked on 12 October 2026 give a €0.85 platform fee plus a recommended €2.25 sender fee for a small parcel: €3.10 before the carrier label. A regular parcel at the recommended sender fee is €3.85 before its label. Sending one of each therefore has a €6.95 preparation-and-platform subtotal. These are arithmetic examples, not quoted warehouse prices or observed customer volumes.

The sender sets their actual fee. Labels, sending your stock to them, packaging and any retrieval transport still need their own budget. AirPost’s shop copy describes no subscription, storage charge, minimum or notice period, and says you can ask for your stock back. It also states that stock at a sender is not insured. That makes a limited trial a practical alternative for suitable goods, rather than a substitute for a warehouse offering the specific insurance or handling requirements you need.

Frequently asked questions

What is a 3PL contract?

It is the agreement covering outsourced logistics services, pricing, responsibility, performance and exit. For a webshop, check all incorporated schedules rather than reviewing the signature page alone.

Can I use a 3PL warehouse contract template?

Use a template as a question list. The proposed provider conditions, product risks and governing law still need review. A generic template cannot establish that your warehouse accepted your amendments.

Does a third party logistics contract include stock insurance?

Only its actual wording and policy arrangements can answer that. Liability insurance for a provider and cover for the full inventory value are different. Request both the contractual limit and the insurance scope.

Can a small webshop negotiate a 3PL contract?

You can request changes and clarifications. Start with document precedence, billing rules, stock value, practical exit and data exports. Record any accepted exception in the signed documents.

What should I check before signing a 3PL service contract?

Resolve unclear charges, responsibility for stock, claim notification, service measurement, renewal and retrieval. Ask for a usable order-data export and a complete dated copy of the agreement.
